Updated

Overview

Bread Financial Holdings, Inc. is a tech-forward financial services company focused on consumer payments, lending and savings. It provides simple, personalized financial solutions to millions of U.S. consumers and helps brand partners drive growth through private-label and co-brand credit card programs, general-purpose credit cards, and pay-over-time offerings. The company operates as a single reportable segment, with its business centered on issuing and servicing consumer credit products and related financial services for a partner base that includes about 100 brands and numerous online merchants, generally under long-term exclusive agreements.[1]

Its product set is defined primarily by private-label and co-brand credit cards, direct-to-consumer general-purpose cards, Bread Pay installment and split-pay solutions, and Bread Savings deposit products such as high-yield savings accounts and certificates of deposit. Bread Financial’s market presence is mainly U.S.-focused, while it also maintains international operations primarily in India and uses offshore servicing support. Its stated mission is to “challenge the status quo to enable satisfaction and happiness through simple, smart financial solutions created for all.” In 2024, the company reported about $3.8 billion of total net interest and non-interest income and employed approximately 6,000 associates worldwide, with most based in the United States.

Products & services

Bread Financial’s core products are branded credit card programs for merchants and direct-to-consumer card products. Its private label credit cards are partner-branded cards that can be used only with the specific merchant, while its co-brand credit cards are general-purpose cards that can be used both with the partner and anywhere the applicable network is accepted; the company also services these receivables and offers features such as promotional financing, rewards programs, recurring payment functionality and account management tools. Bread states that private label balances are typically smaller and carry higher revenue yields than co-brand balances, while co-brand card spending represented about 50% of credit sales in 2024 and average outstanding co-brand balances were about $1,840.[11]

Its direct-to-consumer card lineup includes the Bread Cashback American Express Credit Card and the Bread Rewards American Express Credit Card. The Bread Cashback card offers unlimited 2% cash back, no annual fee, no foreign transaction fees, premium protection benefits, and instant mobile acquisition and wallet provisioning. The Bread Rewards card offers 3% rewards points on gas station, grocery store, dining and utility purchases.[17]

Bread Pay is the company’s pay-over-time technology platform for merchants, covering installment lending and split-pay products. The platform is described as an omnichannel solution serving more than 1,300 small and mid-sized retailers and merchants, with APIs for online point-of-sale financing and digital payment integration, white-label product capabilities, and an enhanced digital suite that includes a unified SDK, prefilled fields, real-time pre-screening, immediate approval, and early presentation of payment options. Within Bread Pay, installment loans are fixed-payment loans repaid over 3 to 48 months, generally at fixed interest rates, while split-pay loans are short-term interest-free products repaid in four installments, with the first payment due at purchase and the remainder due every two weeks.[5]

The company also offers direct-to-consumer deposit products under Bread Savings, primarily certificates of deposit and high-yield savings accounts, including traditional and Roth IRAs, through a scalable online platform without branch dependence. These deposits are an important funding product for the lending business; average retail deposits represented 43% of total funding sources in 2024, and the company noted that its five largest credit card programs accounted for about 48% of total net interest and non-interest income excluding gain on sale and 38% of end-of-period credit card and other loans.

Geographic presence

Bread Financial Holdings, Inc. is geographically concentrated in the United States. The company states that its business is heavily concentrated in U.S. consumer credit and that it manages the business as a single reportable segment, so it does not separately disclose revenue by country or region. Its corporate headquarters are in Columbus, Ohio, at 3095 Loyalty Circle, Columbus, Ohio 43219.[28]

Its office footprint is also primarily U.S.-based. The company says it leased 12 general office properties and identifies principal facilities in Columbus, Ohio; Chadds Ford, Pennsylvania; Coeur d’Alene, Idaho; Draper, Utah; New York, New York; Plano, Texas; and Wilmington, Delaware, along with Bangalore, India. It also notes that it has international operations, primarily in India.[31][7]

As of December 31, 2024, Bread Financial employed approximately 6,000 associates worldwide, with the majority concentrated in the United States.

Business segments

Bread Financial Holdings, Inc. reports a single reportable segment and manages the business on a consolidated basis rather than disclosing multiple named operating segments. The company states that this segment’s primary revenue comes from interest and fees on credit card and other loan products, with a smaller contribution from contractual relationships with brand partners; its primary expense is provision for credit losses. Because no additional reportable segments are disclosed, this sole segment represents approximately 100% of consolidated revenue and net income.[32][9]

Within that single segment, the main business activities span several product lines rather than separately reported segments. These include private label credit cards, which are partner-branded cards usable only with the specific retail partner; co-brand credit cards, which are general-purpose Mastercard or Visa cards usable wherever the network is accepted; Bread Pay installment loans, which are fixed-term loans generally repaid over 3 to 48 months; and Bread Pay split-pay loans, which are short-term, interest-free loans repaid in four installments. The company also offers Bread Savings retail deposit products—primarily certificates of deposit and high-yield savings accounts—to support loan growth and diversify funding, but it does not provide official segment-level percentage contributions for these product groupings because they are all reported within the same segment.

Company history

Bread Financial Holdings, Inc. traces its origins to Alliance Data Systems, which was formed in December 1996 through the merger of J.C. Penney’s credit card processing unit and The Limited’s credit card bank operation, World Financial Network National Bank [33]. In 1998, Alliance Data expanded into loyalty marketing through the acquisition of The Loyalty Group Canada, the operator of the AIR MILES program in Canada [34].

The company significantly reshaped its business portfolio in the following decades. It sold its Epsilon business in 2019 [35]. In 2020, Alliance Data acquired Bread, adding a digital payments platform that became central to its later identity [36]. In November 2021, it completed the spinoff of its former LoyaltyOne segment into Loyalty Ventures [37]. The company then changed its name from Alliance Data Systems Corporation to Bread Financial Holdings, Inc. effective March 23, 2022, and changed its NYSE ticker from ADS to BFH in April 2022 [38].
